1. Who we are

Nerium Intelligence Limited is a private company limited by shares incorporated in Ireland (CRO number 799094), with registered address in County Roscommon, Ireland.

Throughout these terms "Nerium", "we", "us", "our" refers to Nerium Intelligence Limited. "You" refers to any person accessing nerium.ie.

2. Scope

These terms apply to:

nerium.ie (public website)
demo.nerium.ie (demonstration sites — access may be restricted)
admin.nerium.ie / sales.nerium.ie / support.nerium.ie (authenticated portals — additional terms apply via Cloudflare Access)
booking.nerium.ie (booking platform — additional Cal.com terms apply)

Separate terms apply to:

Client engagements — governed by the Master Services Agreement
Client clinic websites delivered under NeriumCore™ — each has its own terms

3. Acceptable use

You may use our public site for lawful purposes only. You must not:

Scrape, data-mine, or copy content beyond normal web indexing
Attempt to probe, scan, or test security controls without our written authorisation
Submit false or misleading information in contact forms
Use the site to harass, defame, or harm others
Upload malware or malicious code
Attempt to gain unauthorised access to authenticated portals
Use content in a way that implies Nerium endorsement of unrelated products

4. Intellectual property

4.1 Nerium-owned content

All content on nerium.ie — including text, graphics, logos, icons, images, audio, video, software, trademarks including NeriumCore™ and NeriumOS™, and data compilations — is the property of Nerium Intelligence Limited or its licensors and is protected by Irish, European, and international intellectual property law.

4.2 Your limited licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to access and view content on nerium.ie for your own information. This licence does not include the right to:

Reproduce, republish, or redistribute content
Reverse-engineer functionality
Use content for commercial purposes without our written consent
Remove copyright, trademark, or other proprietary notices

4.3 User submissions

If you submit content to us (enquiry forms, testimonials, feedback), you grant Nerium a non-exclusive, royalty-free, worldwide licence to use it for operational purposes, subject to our Privacy Policy.

5. Our services — general terms

5.1 No offer

Content on nerium.ie describing our services is for information only and is not a binding offer. A binding contract only forms when both parties execute a Master Services Agreement.

5.2 Pricing

Prices quoted on nerium.ie are indicative as of the date of publication. Actual pricing is set in each Master Services Agreement or Statement of Work. Prices exclude VAT unless stated.

5.3 Government funding

Where we reference the Digital for Business (DFB) scheme or Grow Digital Voucher (GDV), eligibility is determined by your Local Enterprise Office. Nerium is an approved DFB consultant on the LEO panel (Roscommon, Cork, Leitrim) as of the effective date.

6. AI systems on our website

We operate AI systems on our public properties, including:

AI voice reception on Nerium's phone numbers
AI-assisted booking via booking.nerium.ie
AI-composed communications (clearly labelled)

We comply with Article 50 of Regulation (EU) 2024/1689 (the EU AI Act), effective 2 August 2026. You will be told when you interact with an AI system, and you can request a human at any time.

7. Disclaimers

7.1 No warranties on public content

nerium.ie content is provided "as is". We make no warranty — express, implied, or statutory — about the accuracy, completeness, fitness for a particular purpose, or non-infringement of our public content.

7.2 Limitation of liability

To the maximum extent permitted by Irish law, Nerium's total aggregate liability to any person for use of our public properties (outside of a Master Services Agreement) is limited to €100.

This limitation does not apply to:

Fraud or fraudulent misrepresentation
Death or personal injury caused by our negligence
Any liability that cannot lawfully be excluded

For contractual engagements, liability is governed by the Master Services Agreement (not these terms).

8. Links to third-party sites

nerium.ie may link to third-party websites. We do not control and are not responsible for the content, privacy practices, or terms of those sites.

9. Privacy + cookies

Your use of nerium.ie is subject to our Privacy Policy (/privacy) and Cookie Policy (/cookies). By using the site you acknowledge those policies.

10. Amendments

We may update these terms. The effective date at the top of this document reflects the last change. Material changes are published with at least 14 days' notice on the Terms page.

For contractual engagements, Master Services Agreement amendments require mutual written consent per the MSA's own change-control clause.

11. Termination

We may restrict or withdraw access to nerium.ie at any time, without notice, for any reason (including breach of these terms). Termination does not affect rights or obligations accrued before termination.

12. Governing law + jurisdiction

These terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any dispute arising out of or relating to these terms, without prejudice to any consumer rights under Irish law.
